1. Scope and Applicability

1.1 Platform Definition

EcoMarket™ is a B2B digital marketplace operated by Dokovo Global Private Limited ("Platform," "we," "us") enabling the buying and selling of industrial scrap materials, recyclables, and secondary raw materials between verified businesses within India.

1.2 Intermediary Status

EcoMarket operates as an intermediary under Section 79 of the Information Technology Act, 2000. We provide the technological platform connecting buyers and sellers but are not a party to transactions between users. We do not take title to goods traded on the platform.

1.3 E-Commerce Compliance

We comply with the Consumer Protection (E-Commerce) Rules, 2020 as applicable to B2B marketplace entities. While certain consumer protection provisions apply primarily to B2C transactions, we maintain equivalent standards for fair dealing in B2B commerce.

2. Seller Registration and Obligations

2.1 Verification Requirements

All sellers must complete verification including:

  • GST Registration: Valid GSTIN with active status
  • PAN Verification: Business PAN linked to GST
  • PCCC Certificate: Valid Pollution Control Consent Certificate (Consent to Operate) from respective SPCB/PCC
  • Trade License: Municipal trade license for scrap dealing
  • Bank Account: Business bank account in company/proprietor name
  • For Hazardous Waste: Valid authorization under Hazardous and Other Wastes (Management and Transboundary Movement) Rules, 2016

2.2 Listing Accuracy

Sellers must ensure:

  • Accurate description of material type, grade, and quality
  • True representation of quantity available
  • Current photographs of actual material (not stock images)
  • Correct location and pickup availability
  • Transparent pricing without hidden charges

2.3 Weighbridge and Documentation

  • Weighbridge slips required for transactions above ₹50,000
  • Material test certificates for grade-specific sales
  • E-way bills generated as per GST requirements
  • Proper invoicing with HSN codes

2.4 Prohibited Materials and Activities

The following are strictly prohibited:

  • Stolen materials or materials without clear title
  • Hazardous waste without proper authorization
  • E-waste without valid authorization under E-Waste Rules
  • Materials banned under environmental regulations
  • Radioactive materials
  • Materials subject to export restrictions without license
  • Price manipulation or artificial scarcity creation

3. Buyer Obligations

3.1 Due Diligence

Buyers are responsible for:

  • Verifying material suitability for intended purpose
  • Conducting site inspection when recommended
  • Understanding material grades and specifications
  • Assessing transportation and logistics requirements

3.2 Payment Commitments

  • Complete payment within agreed timeline
  • Maintain sufficient funds for confirmed orders
  • Bear payment gateway charges where applicable

3.3 Material Acceptance

  • Inspect material upon delivery
  • Report discrepancies within 48 hours
  • Arrange proper storage and handling
  • Provide weighbridge facilities for quantity verification

4. Transaction Process

4.1 Bid/Quote Mechanism

  • Buyers can request quotes or place bids on listed materials
  • Sellers can accept, reject, or counter-offer
  • Platform may suggest fair market prices based on benchmarks
  • Final price mutually agreed between parties

4.2 Order Confirmation

An order becomes binding when:

  • Buyer confirms order and payment is initiated
  • Seller confirms availability and accepts order
  • Platform generates order confirmation with unique ID
  • Both parties receive confirmation via email and SMS

4.3 Delivery and Pickup

  • Ex-works (buyer arranges pickup) or delivered pricing as agreed
  • Seller provides loading assistance
  • Delivery timeline as specified in order confirmation
  • Force majeure events communicated immediately

4.4 Quality Verification

  • Third-party inspection available on request (additional cost)
  • Platform may mandate inspection for high-value transactions
  • Inspection report binding on both parties if mutually agreed

5. Platform Fees

5.1 Transaction Fee Structure

  • Standard Users: 2-3% of transaction value (varies by material category)
  • Subscribed Users: Reduced rates (0.5-1.5%) based on plan
  • Enterprise: Custom rates negotiated
  • Minimum transaction fee: ₹500

5.2 GST on Platform Fees

Platform fees attract 18% GST. Invoice issued separately for platform services. Input tax credit available to registered businesses.

6. Dispute Resolution

6.1 Internal Mediation

Disputes are resolved through our structured process:

  • Level 1: Automated resolution through platform (quantity/quality within tolerance)
  • Level 2: Mediation by platform dispute team (7 business days)
  • Level 3: Senior review panel (14 business days)

6.2 Arbitration

If internal mediation fails:

  • Binding arbitration under Arbitration and Conciliation Act, 1996
  • Single arbitrator for disputes under ₹50 lakhs
  • Three-member tribunal for higher values
  • Seat of arbitration: Mumbai, Maharashtra
  • Language: English

6.3 Platform Decision Authority

Platform decisions on the following are final:

  • Escrow release/hold within 48-hour window
  • Account suspension for policy violations
  • Listing removal for prohibited content

7. Platform Rights and Limitations

7.1 Content Moderation

We reserve the right to:

  • Remove listings that violate these terms
  • Edit listing content for clarity or compliance
  • Require additional verification for high-risk categories
  • Limit listing volume for new sellers

7.2 Account Suspension and Termination

Grounds for suspension or termination include:

  • Fraudulent transactions or misrepresentation
  • Repeated policy violations (3+ in 6 months)
  • Non-payment of platform fees
  • Legal action or regulatory order against user
  • Activity harmful to platform integrity

7.3 Liability Limitations

As an intermediary under IT Act Section 79:

  • We are not liable for user-generated content or listings
  • We do not guarantee material quality, fitness, or merchantability
  • Maximum platform liability limited to fees collected for specific transaction
  • No liability for indirect, consequential, or punitive damages

7.4 Force Majeure

Neither party liable for delays or failures due to:

  • Natural disasters, pandemics
  • Government actions, regulatory changes
  • Strikes, civil unrest
  • Technology failures beyond reasonable control

8. Compliance Requirements

All users must comply with:

  • Central Pollution Control Board (CPCB) guidelines
  • State Pollution Control Board (SPCB) regulations
  • Hazardous Waste Management Rules, 2016
  • E-Waste Management Rules, 2016
  • Plastic Waste Management Rules, 2016
  • GST Act and Rules
  • Foreign Trade Policy (for import/export)

9. Governing Law and Jurisdiction

These terms are governed by the laws of India. Subject to arbitration provisions above, courts in Mumbai, Maharashtra shall have exclusive jurisdiction over any disputes.
